Why Was Fairfax’s Bid Selected?
The successful bid by Fairfax is valued at ₹81 per share, which is higher than the benchmark value set at ₹75.99 per share through two independent valuations.
Earlier, the government had turned down the first few bids for falling short of meeting the reserve price of ₹94.42 per share. Afterward, the government reassessed the valuation of the shares using two valuation methods market multiples and asset valuation methods, keeping into consideration the volatility of the IDBI Bank’s share prices.
What Are the Implications on Government and LIC’s Shareholding?
The Government of India will hold a 15% stake in IDBI Bank after the proposed transaction, while the LIC will hold 19%. Their combined stake will be 34%, whereas the remaining 60.72% stake will go to Fairfax.
Government can sell its stake through an open market process as well in future. As per the regulations, LIC will reduce its stake from 19% to 15% within a period of two years. Moreover, the share purchase agreement will also lock in the invested capital for three years along with the bank’s brand name.
More Regulatory Approvals Needed
Cabinet approval does not mean that the deal is fully done yet. Fairfax has to establish its eligibility for the RBI fit-and-proper test and meet all the relevant regulatory conditions. Other statutory approvals and takeover requirements are also needed.
Fairfax would have to make an open offer to qualifying the minority stockholders in compliance with the relevant takeover rules. The share purchase agreement should have been executed by the end of 2026, as indicated in the government briefing dated 14 October.
