The RBI has given its approval for the merger of the Indian subsidiaries of Emirates NBD Bank P.J.S.C. with RBL Bank Limited and the merger is expected to be completed from December 1, 2026. This approval comes after Emirates NBD had acquired a 60% equity stake in RBL Bank through a ₹26,000 crore capital infusion in June 2026. This deal has been termed as one of the biggest developments in the Indian banking industry and is also the largest foreign direct investment (FDI) in the Indian banking sector till date.
RBI Approves Emirates NBD-RBL Bank Merger
RBI sanctioned the Scheme of Amalgamation between the Indian branches of Emirates NBD Bank P.J.S.C. and RBL Bank on October 16, 2026. The scheme will come into effect from December 1, 2026.
Emirates NBD is a banking group headquartered at Dubai, United Arab Emirates (UAE). This Scheme of Amalgamation shall lead to the integration of the Indian branch operations of Emirates NBD under RBL Bank.
This sanctioning is part of a larger transaction, which has been announced in October 2025 and completed in June 2026 following regulatory approvals and other closing conditions.
Emirates NBD Buys 60% Equity of RBL Bank
Emirates NBD acquired a controlling equity of 60% of RBL Bank in June 2026 via primary capital infusion to the tune of about ₹26,000 crore.
After the investment, Emirates NBD owns 60% of the total share capital of RBL Bank. Primary capital infusion is when capital is infused into the business or bank by way of issue of fresh shares and not by just transferring money among existing shareholders.
The board of RBL Bank also appointed five nominees of Emirates NBD as additional non-executive and non-independent directors of the Bank from June 18, 2026.
Why is this Transaction Important?
This transaction is one where a significant foreign investment in an Indian bank has been made along with the integration of the foreign investor’s existing Indian branches within the Indian bank.
This transaction adds to the capital base of RBL Bank, while the foreign bank’s majority stake means that it will have control over the bank.
However, through this transaction, it also shows how foreign investment along with regulatory approvals may affect the structuring of the Indian banking industry.
But the process of amalgamating the Indian branches is a different process than the majority stake acquisition, as the former took place in June, while the latter is planned for December.
